Welcome to After Dark PC. These terms and conditions outline the rules and regulations for the use of our website and services. By accessing this website and using our services, you accept these terms and conditions in full.
This Client Engagement Agreement ("Agreement") is made and entered into by and between After Dark PC ("Consultant") and the client ("Client"). The following terms apply to all engagements and services provided by After Dark PC.
After Dark PC offers comprehensive business consulting services, including but not limited to:
Advising on enhancing operational efficiency
Identifying potential strategic initiatives and providing integration guidance
Recommending optimisations for existing systems
Diagnosing bottlenecks and proposing resolutions
General business consultancy
We use an Impact Credit system to quantify the value and effort of our consulting services:
1 Impact Credit (Low Impact): Simple advice or recommendations that are easy to implement and have a minor impact on operations.
5 Impact Credits (Moderate Impact): Advice that requires some effort to implement and has a noticeable impact on business processes.
10 Impact Credits (High Impact): Comprehensive advice that involves significant changes and has a substantial impact on the business.
Standard Retainer:
Monthly Fee: $1,000 + GST
Impact Credits: 5 Impact Credits per month
Unused Impact Credits do not roll over; use it or lose it.
Premium Retainer:
Monthly Fee: $2,450 + GST
Impact Credits: 14 Impact Credits per month
Clients can borrow Impact Credits from the preceding and following months.
One-off projects and additional services are quoted based on previous consultation work.
All new consultation outside of retainer are quoted as one-off projects or bespoke consultation.
Retainer fees are billed monthly in advance.
Payment is due within 15 days of the invoice date.
Late payments may incur the following fees:
Payments 10-15 days late: 2% fee
Payments greater than 15 days late: 4% fee and 1 Impact Credit loss per 15 days beyond the original 15-day late period.
All client information disclosed during the engagement is treated as confidential and not shared with third parties without explicit consent, except as required by law.
After Dark PC is willing to sign Non-Disclosure Agreements (NDAs) to further protect confidential information.
Intellectual Property
All intellectual property created during the consulting engagement is retained by After Dark PC unless previously agreed upon and amended in the Client agreement.
Intellectual property provided to the Client must be used in the manner intended by the consultant and agreed upon by both parties.
After Dark PC carries public liability and personal indemnity insurance.
All advice provided is given with care and due diligence, but the implementation is at the Client’s discretion and risk.
The maximum liability of After Dark PC shall not exceed the total amount of fees paid by the Client.
After Dark PC disclaims any liability for indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, or use.
Either party may terminate the agreement within 15 days of the contract renewal date without providing a reason.
Either party may terminate the agreement for cause if services are deemed not fit for purpose or misleading, within 15 days of the monthly cycle date.
Termination due to change of circumstances requires the Client to pay 25% of the remaining contract period and forfeit any Impact Credits.
This agreement is governed by and construed in accordance with the laws of New South Wales, Australia.
We may update these terms and conditions from time to time. Any changes will be reflected on this page. We encourage you to review this page periodically.
